- The licence covers both the composition and the master recording.
- You may trim, loop and fade to fit. You may not remix, add lyrics or re-record.
- Broadcast, theatrical and all-media uses are quoted separately on a signed agreement.
- Performance rights are handled by the PRO, not by this licence.
- If a platform flags your video, send us your licence ID and we release the claim.
Contents
1. Grant
When you have paid, ZAWA grants you a non-exclusive, non-transferable licence to synchronize the named track (the "Music") with the visuals of the Licensed Project, and to reproduce, distribute and communicate the Licensed Project with the Music in it, within the Territory, Term and Media of your tier. Unless your certificate says otherwise, the licence covers both the musical composition and the master recording, so you need no second sync or master licence from us.
Public performance rights administered by a performing rights organization are not part of this licence. See Performance rights and PROs.
2. Tiers
Creator. One track on one named YouTube, podcast or social channel, in the videos or episodes you publish on that channel. Worldwide, no end date. Not for paid advertising, broadcast or theatrical use.,Commercial or ad. One track in one campaign: online ads, brand and corporate video. Worldwide online use. Not for broadcast television, cinema or theatrical use.,Indie film or web series. One track in one production: short film, festival film, web series or documentary. Worldwide online and festival use. Not for broadcast television, cinema release or a platform acquisition.,All media or broadcast. TV, feature film, games, trailers and national campaigns are priced by quote and signed on the long-form Sync licence agreement.
"No end date" and "perpetual" mean the licence lasts for the Licensed Project while you comply with the Agreement. It does not cover new projects, and it ends if we terminate it for breach.
3. The Licensed Project
At checkout or by email you name the track and the project, channel or campaign. The Licensed Project is that named project only. A new project, a new channel or a new campaign needs a new licence.
If you make the project for a client, the client may distribute it as part of the project, if you name the client when you order. The Music may not be taken out of the project and used on its own.
4. Editing
You may trim, loop, fade and mix the Music under dialogue as needed to fit the project. You may not remix it, add or change lyrics, re-record it, sample it, change its melody or harmony, or process it with AI tools beyond ordinary editing.
5. Credit
Where the platform allows, credit the Music as your certificate shows, for example "Music: [Title] by [Artist], licensed from ZAWA Music Inc." Credit is required for the Creator tier and appreciated for the others. A missed credit is a breach only if you do not fix it within 14 days of our notice.
6. Content ID and claims
You may not register the Music or your project in Content ID or any other fingerprinting system. If a platform or distributor flags your use, follow the steps in Content ID and claims. We will help release it.
7. Cue sheets
For film, series and television use, send ZAWA the cue sheet or the title, running time and use type within 30 days of release so that performance royalties can be reported correctly.
8. Going beyond your tier
Do not use the Music beyond your tier. If your project is picked up for broadcast, cinema or wider advertising, ask us first. We will quote the right licence and will take into account what you have already paid where we can.
9. Quote and long-form agreements
All media or broadcast licences, exclusive licences and buy-outs are made on a signed agreement, not at checkout. We use the long-form Sync licence agreement, in a British Columbia or a United States version. A signed agreement overrides the checkout terms where they differ.
10. Buyers in the United States
Prices are in Canadian dollars. You are responsible for any sales or use tax that applies to you and that we are not required to collect. Broadcast and public performance in the United States are licensed by ASCAP, BMI, SESAC or GMR, not by this licence. These terms are still governed by British Columbia law unless a signed agreement names a United States state.
11. Other terms
The Terms of Sale apply to this licence, including limits on liability, indemnity, breach and termination, governing law and the rules on what is never allowed.
